1. NOTICE

These Terms and Conditions constitute a legally binding agreement. By using our services, availing of our products, or engaging in any transaction with UpSummit Technologies (“Company,” “We,” “Us,” or “Our”), you acknowledge and agree to these terms. 2. OWNERSHIP, COPYRIGHT & LIMITED LICENSE

All our products are subscription-based, and we retain full ownership of all codes, software, and resources used in our projects. Any materials, assets, or intellectual property provided by the client and originally copyrighted by them will remain their property. Clients may not modify, distribute, or reproduce any part of the delivered project without prior consent unless ownership rights are transferred under a separate agreement. Customized products may be subject to additional licensing terms, which will be outlined in the service agreement.

UpSummit Technologies grants you a limited, non-exclusive, non-transferable license to access and use our services and products strictly for personal or business use. This license does not grant you the right to resell, sublicense, or redistribute any part of our work without explicit written permission.

3. PAYMENTS & BILLING

Payments must be made directly to the official bank account specified in the contract, invoice, or billing. UNDER NO CIRCUMSTANCES SHOULD PAYMENTS BE MADE TO ANY ASSIGNED DEVELOPER, SUPPORT STAFF, PERSONNEL, OR AGENT. Late payments may result in service suspension or additional fees as outlined in the payment terms. All transactions are final, and refunds will be processed only under specific circumstances agreed upon by both parties.

4. SERVICE CUSTOMIZATION & REQUESTS FOR PERMISSION TO USE CONTENT

All additional conditions, modifications, or customizations for services or products availed are tailored based on the client’s specific needs. Changes requested after project commencement may be subject to additional costs and revised timelines.

If you wish to use any of UpSummit Technologies’ content, including software, documentation, or digital assets, you must obtain explicit written permission. UNAUTHORIZED USE OR DISTRIBUTION IS STRICTLY PROHIBITED AND MAY RESULT IN LEGAL ACTION.

5. CONFIDENTIALITY & COMMUNICATIONS

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the project. UpSummit Technologies will take reasonable measures to protect client data; however, we are not responsible for breaches due to third-party vulnerabilities or external cyber threats.

Any communication you send to UpSummit Technologies, including inquiries, feedback, or suggestions, will not be considered confidential or proprietary unless otherwise agreed upon in writing. By communicating with us, you grant UpSummit Technologies the right to use your submissions for business operations, research, or service improvement.

6. DATA PROTECTION & SECURITY

UpSummit Technologies follows industry-standard security practices to protect your personal and business information. We do not sell, rent, or disclose your data to third parties without consent, except when required by law. Clients are responsible for maintaining the security of their accounts, passwords, and sensitive data. UpSummit Technologies is not liable for damages caused by cyberattacks, hacking, or security breaches beyond our reasonable control.

7. DISCLAIMERS & THIRD-PARTY LIABILITY

UpSummit Technologies makes every effort to ensure the accuracy and reliability of our services; however, we do not guarantee that all information, software, or technology will be error-free or uninterrupted.

While we strive for accuracy, occasional errors or omissions may occur. UpSummit Technologies is not responsible for any damages resulting from reliance on incorrect or incomplete information. UpSummit Technologies may integrate third-party tools or services based on client requirements. We are not responsible for any service outages, pricing changes, or policy updates from third-party providers.

UpSummit Technologies does not warrant that our technology solutions will function without interruption, be completely secure, or be free from defects. Users assume full responsibility for implementing backups and security measures. The use of UpSummit Technologies’s services and products is at your sole risk. UpSummit Technologies disclaims all warranties, express or implied, including but not limited to the warranties of merchantability and fitness for a particular purpose. UpSummit Technologies provides its services “as is” without any guarantees. We do not guarantee specific outcomes or financial results from the use of our products and services.

8. FORCE MAJEURE

UpSummit Technologies shall not be held liable for delays or failure to perform services due to events beyond our control, including but not limited to acts of God, cyberattacks, power failures, or regulatory changes.

9. LIMITATION OF LIABILITY

UpSummit Technologies is not liable for any indirect, incidental, or consequential damages arising from the use of its services. Clients are responsible for ensuring compatibility and proper implementation of delivered solutions within their systems.

10. GOVERNING LAW

These terms apply within the Philippines and govern the use and provision of our services and products. By availing of our services, you acknowledge and agree that any legal matters will be handled under Philippine law.

11. DISPUTE RESOLUTION

In case of any dispute, both parties agree to resolve the matter through negotiation or mediation before pursuing legal action. Any legal disputes shall be governed by the laws of the Philippines.

12. TERMINATION OF SERVICES

UpSummit Technologies reserves the right to terminate services if the client fails to comply with the agreed terms, including non-payment or misuse of delivered work. Upon termination, clients may lose access to ongoing work, and any outstanding payments must still be settled.

13. AMENDMENTS

UpSummit Technologies reserves the right to update or modify these terms at any time. Clients will be notified of significant changes, and continued use of our services constitutes acceptance of the revised terms.
